These Terms of Service ("Terms") are a contract between you and JBC Holdings LLC, an Indiana limited liability company ("SOPONTHEGO," "we," "us," "our"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.
Definitions: "Service" means the SOPONTHEGO web application and any related features. "You" or "your" means the individual or entity using the service. "Account" means your user record with us. "Content" means the SOPs and any other material you create, upload, or generate using the service.
The service: SOPONTHEGO is an AI-powered tool that generates Standard Operating Procedures and related operational documents. The service is provided through a web application accessible via supported browsers.
Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to use the service. By using the service you represent that you meet these requirements.
Your account: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us promptly of any unauthorized access. We are not liable for any loss arising from your failure to secure your account.
Acceptable use: You agree not to use SOPONTHEGO to (a) create content that is illegal, harmful, defamatory, fraudulent, or infringes on the rights of others; (b) violate any applicable law, regulation, or third-party right; (c) attempt to reverse-engineer, scrape, decompile, or extract source code from the service; (d) abuse the service through excessive requests, automated attacks, or evasion of usage limits; (e) resell, sublicense, or redistribute the service or generated content as your own product without substantial transformation; or (f) use the service to develop a competing product. We may suspend or terminate accounts that violate these rules.
Your content: You retain ownership of the SOPs and other content you create or generate using the service. By using the service, you grant us a limited, worldwide, royalty-free license to process, store, transmit, and display your content solely as necessary to provide the service to you. We do not use your content to train AI models. We do not claim any rights to your content beyond this operational license.
AI-generated content: Documents generated by the service are produced by artificial intelligence and may contain errors, omissions, or inaccuracies. You are responsible for reviewing, editing, and verifying all generated content before using it for any purpose. SOPONTHEGO is a productivity tool, not a substitute for professional legal, medical, regulatory, or compliance advice. We make no warranty regarding the accuracy, completeness, or fitness for purpose of any generated content. Industry-specific compliance language included in templates or generated SOPs is provided for general guidance only and must be reviewed by qualified professionals before relying on it.
Subscriptions & billing: Paid plans (Solo, Pro, Team) are billed in advance on a recurring basis — monthly or yearly depending on your selection. Your subscription automatically renews at the end of each billing period unless you cancel. All payments are processed by Stripe; by subscribing, you agree to Stripe's terms of service.
Usage limits: Each plan includes a monthly cap on SOP generations as disclosed at the time of purchase. Generation usage resets at the start of each billing period. Unused generations do not carry over.
Cancellation: You can cancel anytime through the Manage Subscription portal in your account. When you cancel, your subscription remains active until the end of your current billing period — you keep full access to your paid plan until that date. After that, your account automatically reverts to the free trial.
Refunds: All sales are final. We do not provide refunds for partial billing periods, unused time after cancellation, or for any reason after a charge has been processed. Your free trial (3 SOPs) is designed to let you fully evaluate the service before subscribing. Exceptions may be considered in cases of duplicate charges or technical errors — email brad@soponthego.com.
Your data after cancellation: Your SOPs and account data remain stored and accessible to you after cancellation. If you re-subscribe in the future, your existing SOPs, profile, and settings will still be there. The Trial plan caps your library at 10 SOPs — if you had more than 10 on a paid plan, you'll still see them all but won't be able to save new SOPs until you upgrade again or remove some.
Price changes: We may change subscription prices with at least 30 days' notice. Price changes take effect at your next renewal — your current billing period is unaffected.
Billing email changes: The email address on your subscription is tied to your account at signup. To change your billing email, email brad@soponthego.com.
Failed payments: If a recurring payment fails, we will attempt to recharge in accordance with Stripe's standard retry schedule. If payment is not resolved, your subscription may be paused or downgraded to the free trial until payment is restored.
Termination: We may suspend or terminate accounts that violate these Terms, including without prior notice in cases of fraud, abuse, or legal risk. You may delete your account at any time through the Manage Subscription portal or by emailing us.
Disclaimer of warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT GENERATED CONTENT WILL MEET YOUR REQUIREMENTS.
Limitation of liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification: You agree to indemnify and hold harmless JBC Holdings LLC, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the service, (b) your violation of these Terms, (c) your content, or (d) your violation of any rights of any third party.
Service availability: We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance, deploy updates, or experience unplanned outages. We are not liable for temporary unavailability.
Force majeure: Neither party will be liable for failure or delay in performance due to events beyond reasonable control, including acts of God, natural disasters, war, terrorism, government action, network or power outages, or pandemic.
Governing law: These Terms are governed by the laws of the State of Indiana, USA, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the service will be resolved exclusively in the state or federal courts located in Indiana, and you consent to the personal jurisdiction of those courts.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
No waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the service and supersede any prior agreements.
Changes: We may update these Terms. Material changes will be communicated by email or in-app notice and will take effect upon posting. Continued use after the effective date constitutes acceptance.
